Chris assists companies by providing guidance on a broad range of executive compensation and governance matters including, executive and director pay levels, short- and long-term incentives, contractual employment and postretirement relationships, change in control, severance, corporate restructuring, board of directors governance consulting, proxy advisory firm and institutional investor analyses, Institutional Shareholder Services, Inc. (ISS) modeling, proxy disclosure and pay-for-performance analyses, director election and proxy proposal projections, equity plan share authorization modeling, and technical issues related to executive and director compensation (e.g., tax, accounting, and securities rules and regulations).
Chris has over 17 years of experience in consulting on director and executive compensation corporate governance matters, and before that specialized in tax and securities law for two major accounting firms. He has worked with hundreds of companies, ranging from large multibillion dollar public companies to smaller private organization across a wide range of industries. He is a frequent speaker on executive compensation and governance topics including seminars sponsored by the National Association of Stock Plan Professionals, Directors Roundtable, and various chapters of the American Bar Association, and other trade associations. Chris received his LL.M. in taxation from Washington University, J.D. from Southern Illinois University, and holds a B.S. in accounting from the University of Illinois. He is a certified public accountant and an attorney in Illinois and Missouri. |
